Institutional Terms of Service
These Terms of Service govern the access and use of the Resolusite AgriRisk Copilot platform by licensed commercial banks, rural credit federations, insurance underwriters, and agricultural finance desks.
Resolusite AgriRisk Copilot is deliberately architected as a Decision Support platform for professional credit analysts and underwriting committees. Resolusite is not an autonomous credit engine; final loan disbursement, pricing, and covenant approval remain the exclusive fiduciary prerogative of the licensed financial institution.
01Permitted Institutional Use & Human-in-the-Loop Architecture
1.1 Authorized Users: Subscriptions are granted to accredited commercial banks, rural banks (BPR), multi-finance corporations, reinsurance actuaries, and agricultural outgrower aggregators. Users must access the platform via individual enterprise SSO credentials.
1.2 Human Oversight Mandate: All synthesized credit memorandums, cash flow stress test simulations, and parametric covenant proposals require human underwriter review and explicit sign-off prior to presentation to credit approval committees.
02Client Proprietary Ownership & Data Rights
2.1 Zero Platform Claim on Client Data: The financial institution retains 100% Proprietary Ownership of all debtor loan portfolios, collateral geolocations, financial statements, and custom covenant parameters uploaded to the platform.
2.2 Debtor Confidentiality: Resolusite will not sell, aggregate, benchmark, or disclose proprietary credit data across third parties without explicit written authorization from the financial institution.
2.3 Data Portability: Upon termination of the Master Subscription Agreement, all uploaded client records and generated underwriting memos may be exported in standard JSON/PDF formats and permanently deleted from Resolusite active instances within 30 days.
03Agrometeorological & Geospatial Data Feeds
3.1 Data Providers: Resolusite integrates weather and satellite feeds from official authoritative sources, including BMKG (Badan Meteorologi, Klimatologi, dan Geofisika), Copernicus Sentinel-2 surface reflectance imagery (European Space Agency), and ECMWF ERA5-Land gridded atmospheric reanalysis.
3.2 Feed Availability: While Resolusite maintains a 99.9% platform availability SLA, agrometeorological feeds rely on satellite orbital passes and public agency telemetry. In the event of optical cloud obstruction or agency feed outages, Resolusite automatically applies SAR cross-validation and fallback historical deciles.
04Limitation of Liability & Fiduciary Responsibility
4.1 Actuarial Modeling Nature: Climate risk forecasts, SPEI decile projections, and projected harvest dip percentages represent probabilistic risk analytics. They do not constitute insurance underwriting guarantees or credit guarantees.
4.2 Limitation of Liability: Under no circumstances shall Resolusite Inc. or its directors be liable for actual default occurrences, crop loan write-offs, or regulatory sanctions resulting from credit decisions made by the financial institution. The financial institution retains all legal and fiduciary accountability for its credit risk management.
05Governing Law & Arbitration (BANI)
5.1 Governing Law: These Terms of Service and any dispute arising out of or related to this Agreement shall be governed by and construed under the laws of the Republic of Indonesia.
5.2 Arbitration: Any dispute, controversy, or claim arising out of or in relation to this contract shall be settled by arbitration administered by the Badan Arbitrase Nasional Indonesia (BANI) in Jakarta, in accordance with the BANI Arbitration Rules currently in force.
